The Board of Commissioners for the County of Person, North Carolina, met in
regular session on Tuesday, October 24, 2023 at 9:00 a.m. This meeting was set as the
Board’s Strategic Planning Retreat. The Retreat location was in the County Office Building
Auditorium located at 304 S. Morgan Street, Roxboro, NC.
Chairman Powell called the meeting to order.

A motion was made by Commissioner Palmer and carried 5-0 to approve the
agenda.

CLOSING REMARKS:
Chairman Powell expressed thanks to staff and Board for all they do. Powell stated
the importance of having goals and objectives for the future of the County. Powell stated
the need to provide service to citizens of Person County and to make progress towards
education for our children, and economic growth.
Vice Chairman Sims expressed thanks to the audience. Sims stated that the Board
has worked really well over the past few years, is supportive of each other, and he enjoys
being on the Board. Sims expressed thanks to the IT Department for the remodel of the
County Auditorium and stated it was nice.

Commissioner Palmer expressed thanks to the audience in attendance and advised
that he is looking forward to the final draft of the Strategic Plan and feels we are moving
in the right direction.
Commissioner Puryear expressed thanks to staff and those in attendance and hopes
something good comes from this.
Commissioner Thomas stated goals and implementation of goals are important for
a thriving community. Thomas thanked everyone in attendance for being at the meeting.
The Board did not adopt a Strategic Plan during this session. It was the consensus
of the Board to schedule an additional Strategic Planning Retreat for December 7 at 9 a.m.
to allow the Board time to review the SPC II, which Commissioner Puryear
recommended.
ADJOURNMENT:
A motion was made by Commissioner Sims and carried 5-0 to adjourn the meeting
at 11:54 a.m.

Agenda Title: Employee Benefits Consulting and Broker Services
Summary of Information: On September 5, 2023, Human Resources released a request for
proposal for Employee Benefits Consulting and Broker Services. A total of 5 proposals was
received. The Management Team and Human Resources staff reviewed and discussed the
proposals. At this time, the recommendation is for the county to remain with Mark III. The
current contact with Mark III is renewable on a year by year basis. The annual cost for their
services is $25,000 which includes an Office Automation Systems, enrollers, fees pertaining to
flexible spending accounts, COBRA, ACA software and Benefit Administration system.
Recommended Action: Approval to continue contract with Mark III.

Agenda Title: Continuing Disclosure Policy
Summary of Information: There are specific disclosure requirements associated with security
issuances that obligate the County to provide certain financial information to the Municipal
Securities Rulemaking Board (the “MSRB”), both on an annual basis and as certain “material”
events arise, under Rule 15c2-12 (the “Rule”) and according to Section 159-34 of the NC General
Statues. Given the increasing complexity and scrutiny with respect to compliance with these
requirements, and the desire to ensure adherence with the continued disclosure obligations, the
County’s Bond Counsel, Parker Poe Adams & Bernstein, LLP, recommends that Person County’s
Board of Commissioners adopt this Policy titled Post-Issuance Compliance Policies and
Procedures for Complying with Continuing Disclosure Obligations (the “Continuing Disclosure
Policy”).
Recommended Action: To adopt the Continued Disclosure Policy as provided to ensure
compliance with the MSRB’s Rule 15c2-12 and N.C.G.S. 159-34.

Part I. Purpose.
In connection with the issuance of securities in the public markets, Person County, North Carolina
(the “County”) has entered into agreements obligating the County to provide continuing disclosure on
certain information related to the County. The County has entered into the continuing disclosure
obligations to allow the underwriter(s) of the securities offered to comply with Rule 15c2-12 (the
“Rule”) promulgated by the Securities and Exchange Commission (the “SEC”). Given the increasing
complexity of the Rule and scrutiny with respect to compliance with the Rule that underwriters of
future issuance of securities by or on behalf of the County will undertake and the County’s desire to
ensure adherence with the County’s continuing disclosure obligations, the County hereby adopts the
following policies and procedures (the “Policies and Procedures”). These Policies and Procedures are
intended to serve as a guide for the County to facilitate compliance with its continuing disclosure
obligations in accordance with the Rule.
Part II. Responsibility of County Officials.
Except as otherwise described herein, the County’s Finance Department (the “Department”) has
primary responsibility for ensuring that the County complies with its outstanding continuing
disclosure obligations. The Department will consult with other departments within the County, as
well as third-party professionals (e.g., the County’s bond counsel and financial advisor), as necessary,
to ensure compliance with these Policies and Procedures.
The Finance Director will review these Policies and Procedures no less frequently than on the issuance
of any securities for which the County agrees to additional continuing disclosure obligations to ensure
that the terms and conditions of these Policies and Procedures are up to date and that the County
remains in compliance.
Part III. Securities Subject to Continuing Disclosure Obligations.
The County has entered into continuing disclosure obligations for the securities listed on Exhibit A
hereto. The County will update Exhibit A each time that securities are issued for which the County
agrees to continuing disclosure and each time that securities are no longer outstanding and subject to
continuing disclosure in accordance with the Rule.
Part IV. Continuing Disclosure Obligations.
(A) As part of its continuing disclosure obligations, the County has agreed to provide the following
information related to each of the securities listed on Exhibit A to the Municipal Securities Rulemaking
Board (the “MSRB”).
(1) by not later than seven months after the end of each Fiscal Year, the audited
financial statements of the County for such Fiscal Year, if available, prepared in accordance
with Section 159-34 of the General Statutes of North Carolina, as it may be amended from
time to time, or any successor statute, or if such audited financial statements are not then
available, unaudited financial statements of the County for such Fiscal Year to be replaced

subsequently by audited financial statements of the County to be delivered within 15 days after
such audited financial statements become available for distribution;
(2) by not later than seven months after the end of each Fiscal Year, the financial
and statistical data as of a date not earlier than the end of such Fiscal Year for the type of
information included under the captions in the Official Statement related to each of the
securities subject to and specified in each agreement to undertake continuing disclosure, as set
forth in Exhibit B;
(3) in a timely manner not in excess of 10 business days after the occurrence of
the event, notice of any of the following events with respect to the securities subject to
continuing disclosure listed in Exhibit A:
(a) principal and interest payment delinquencies;
(b) non-payment related defaults, if material;
(c) unscheduled draws on the debt service reserves reflecting financial
difficulties;
(d) unscheduled draws on any credit enhancements reflecting financial
difficulties;
(e) substitution of any credit or liquidity providers, or their failure to
perform;
(f) adverse tax opinions, the issuance by the Internal Revenue Service of
proposed or final determinations of taxability, Notices of Proposed Issue (IRS
Form 5701-TEB) or other material notices or determinations with respect to
the tax status of the securities, or other material events affecting the tax status
of the securities;
(g) modification of the rights of the security holders, if material;
(h) call of any of the securities, other than mandatory sinking fund
redemptions, if material, and tender offers;
(i) defeasance of any of the securities;
(j) release, substitution or sale of any property securing repayment of the
securities, if material;
(k) rating changes;
(l) bankruptcy, insolvency, receivership or similar event of the County;

(m) the consummation of a merger, consolidation, or acquisition involving
the County or the sale of all or substantially all of the assets of the County,
other than in the ordinary course of business, the entry into a definitive
agreement to undertake such an action or the termination of a definitive
agreement relating to such actions, other than pursuant to its terms, if material;
(n) appointment of a successor or additional trustee or the change of name
of a trustee, if material;
(o) incurrence of a Financial Obligation of the County, if material, or
agreement to covenants, events of default, remedies, priority rights, or other
similar terms of a Financial Obligation of the County, any of which affect
security holders, if material; and
(p) default, event of acceleration, termination event, modification of
terms, or other similar events under the terms of the Financial Obligation of
the County, any of which reflect financial difficulties.
The term “Financial Obligation” as used in items (o) and (p) above means a (i) debt
obligation; (ii) derivative instrument entered into in connection with, or pledged as
security or a source of payment for, an existing or planned debt obligation; or (iii)
guarantee of (i) or (ii). The term Financial Obligation does not include municipal
securities as to which a final official statement has been provided to the MSRB
consistent with the Rule. Leases under GASB 87 and GASB 96 will only be a Financial
Obligation for purposes of the Rule if they operate as a vehicle to borrow money, such
as leases that were previously considered to be “capital leases” under former GASB
principles.
(4) in a timely manner, notice of a failure of the County to provide required annual
financial information described in (1) or (2) above on or before the date specified.
(B) All documents provided to the MSRB as described above are to be provided in an electronic
format as prescribed by the MSRB (pdf, word-searchable) and accompanied by identifying
information as prescribed by the MSRB.
(C) Material Financial Obligations subject to subsection (o) above will be identified by the
Department, in consultation with the County’s bond counsel and financial advisor, prior to being
entered into by the County. A Financial Obligation will be considered “material” for purposes of the
continuing disclosure obligation under subsection (o) above if it exceeds $2,000,000. The Department
will review its overall outstanding debt and, if necessary, adjust this materiality threshold accordingly
in conjunction with the County’s annual filing pursuant to Part IV(A)(1) herein. The Department will
post the entire relevant documents related to the Financial Obligation (with acceptable redactions
identified by the counterparty to the documents) in accordance with the Rule. Exhibit C includes a
list of “Financial Obligations” subject to subsection (o) above, as identified in accordance with the
materiality threshold identified by the Department. Such list should be reviewed and updated in

accordance with Part VI below, as needed. Exhibit C also includes an explanation of the “Financial
Obligations” subject to subsection (p) above, which are not limited by the materiality threshold
identified by the Department.
Part V. Continuing Disclosure Obligations Control.
Notwithstanding anything in these Policies and Procedures, the terms of each continuing disclosure
obligation made at the time the County issued or executed and delivered the related debt obligation
controls the continuing disclosure requirements of each debt obligation. The Department will
maintain records of each agreement containing a continuing disclosure undertaking.
Part VI. Recordkeeping and Review of Policy.
The County will maintain all records related to its compliance with its continuing disclosure obligations
in such form and for such time period in accordance with the County’s recordkeeping policies. In

Agenda Title: Person County Schools Requests for an additional $3.0 million to fund the
completion of Concession/Bathroom Alternate 5 of ADA/Safety Project for Person High School.
Summary of Information: Alternate 5 was not a part of the contract voted on by the Board of
Education on September 14, 2023. The bid opening for the PHS ADA and Stadium Improvements
on September 12, 2023, exceeded the County’s identified contract value of $11,118,000. After the
contract was awarded to Legacy Builders, the valued engineering to the base bid and the project
alternates allowed the project to include the stadium bleachers within the identified contract value.
The Board of Education is requesting the above funds so the concession/bathroom phase can be
completed with the bleacher project.
Recommended Action: The Board of Education recommends the county approve the additional
funding to complete the Concession/Bathroom Alternate 5 of the ADA/Safety Project for Person
High School.

Summary of Information: Sierra Club and Sound Rivers present health, safety, and environmental concerns and questions to the Board about Dominion Energy’s rezoning
application to build a proposed Liquified Natural Gas (LNG) facility.
The Sierra Club requests the Board delay approving the planning board’s rezoning
recommendation until the UDO has been finalized in 2024, and seek more community input for
their Conditional Use Permit Application. Additionally, recommend the Planning Board amend their approval of the rezoning request after hosting a public hearing, to only encompass 50 acres where phase one of the development is proposed, rather than all 485 acres as the applicant requested, to keep as much rural conservation buffer in places as possible.

BE IT RESOLVED by the Board of County Commissioners for Person County that the
following policy and process applies to the consideration and adoption of naming rights
for public property owned by Person County Government.

PUBLIC PROPERTY NAMING POLICY
I. Policy Statement and Purpose
Person County has the sole authority to designate the name of all public property and
facilities. All County owned property, buildings, facilities and land shall bear such
names as the Person County Board of Commissioners shall approve pursuant to this
policy. The purpose of this policy is to establish consistent standard procedures and
guidelines for the naming of public property, buildings, facilities and land owned by
Person County.
II. Policy Guidelines
1. This policy will undergo periodic review by County Manager’s Office, County
Attorney and other assigned staff, as deemed necessary.
2. Exceptions to this policy of naming property belonging to the County may be
made by the Board of Commissioners, as it deems appropriate.
3. This policy shall not be construed as a mechanism for selling the permanent
naming rights of County structures, buildings, facilities or land.
III. Criteria for Consideration
1. The Board of Commissioners will consider proposals from the public for the
naming of County property, a park, public open space, building or area within a
park, building or open space to recognize the following:
a. a person,
b. organization,
c. historical event,
d. geographic location or feature, or
e. a plant or animal indigenous to Person County.
2. The Board of Commissioners will consider naming public property for an
individual or an organization only when the individual(s) or organization has
made exceptional contributions to the County or the community at large in the
form of money, land, time or overall service to the community.
3. The Board of Commissioners cannot control the names of buildings or parcels of
land that are sold and are no longer used to provide County Services.
4. Official names for property belonging to the County shall only be changed by the
Board of Commissioners as it deems appropriate.
5. This policy does not apply to naming of public roads, streets, alleys or other
similar thoroughfares.
IV. Process for Consideration
The proposed naming of a public building, facility or land may generate in the following
manner:

1. County-appointed advisory boards or committees may present a request to the
Board of Commissioners in writing detailing the merit, basis or cause for the
proposed naming of a facility. Consideration of the recommendation shall be
made during a public meeting.
2. A County citizen or group of County citizens who wish to recommend the naming
of a park, building, public open space or a particular area within a County facility
to the Board of Commissioners may make a request in writing to the County
Manager for consideration by the Board of Commissioners.
3. The County may accept a donation of land, money, materials and or services by
an individual or organization where the donor has stipulated a naming will occur
to recognize the contribution. In such instances, the agreement is final and the
name cannot be changed unless the Board of Commissioners decides to return
the land, money, materials or services to the individual or organization. The
agreement may also become null if the individual or organization fails to deliver,
in full, the agreed upon land, money, materials or services to the County.
V. Guidelines for Naming of Property
1. Upon receipt of a recommendation during an open meeting, the Board of
Commissioners shall state its intent to consider the adoption of a resolution for
the naming or renaming of a public building, facility or land at the next or some
subsequent meeting as determined by the board; and call for a public hearing
with proper public notice to hear comments on the proposal.
2. The County Commissioners may determine that the public building, facility or
land is significant enough to require holding community meetings in the targeted
area to solicit additional public input.
3. Upon approval of the resolution by the Board of Commissioners, the public
building, facility or land shall bear the assigned name to it from here after as the
board prescribes.
4. Current names for property belonging to the County shall remain the same
unless changed by the Board of Commissioners. Designation of a name shall
not prohibit the renaming of the building or property at a future date, or the
designation of a sunset for the name at the time of approval.
5. A public building/facility under construction/renovation or land purchased or
owned for park development or conservation/preservation will be given a working
title that will only become the official name of the property when formally
approved by the Board of Commissioners.
6. The County reserves the right to determine how naming recognitions are
acknowledged or displayed.
7. The Board of Commissioners may determine that there are certain buildings of
such unique importance to the County, such as the County Office Building, and,
therefore, they shall not be named; however, rooms within these buildings may
be named.
