Note: All Items on the Agenda are for Discussion and Action as deemed appropriate by the Board. 2 AGENDA ABSTRACT Meeting Date: February 5, 2025 Agenda Title: CD-01-24- A request by the Applicant and Property Owner, Duke Energy Progress, LLC for Conditional District Rezoning Approval on a 297-acre vacant lot, located beside 1700 Dunnaway Rd., Tax Map A15 304, from R-Residential to GI- General Industrial Summary of Information: The proposed conditional district rezoning requires legislative review by the Board of Commissioners following a public hearing. The NC General Statutes requires that when reviewing a map amendment, the board also include with their motion a statement as to whether the proposed map amendment is reasonable and consistent. The applicant is requesting a conditional district rezoning of the property from R (Residential) to CD-GI (Conditional District-General Industrial), in order to develop a hydrogen capable natural gas combined cycle plan. Planning Staff Recommendation: Planning staff recommends approval of the conditional district rezoning case CD-01-24 based on the Person County & City of Roxboro Joint Comprehensive Land Use Plan and the Future Land Use Map contained within the Land Use Plan. The rezoning request is a Conditional District Rezoning request, and conditions can be placed on the approval, provided that they comply with the Person County Planning Ordinance and are agreed upon by the applicant. Planning Board Action: At the Planning Board meeting on January 9, 2025, the board voted (4-2) to recommend approval of CD-01-24. Financial Impact: None. Recommended Action: Vote to approve, approve with conditions or deny the requested conditional district rezoning. For further information on the case listed above, please contact the Person County Planning & Zoning Department at (336) 597-1750. 1/23,30/2025 5 PERSON COUNTY PLANNING & ZONING DEPARTMENT STAFF REPORT Conditional District Rezoning Application, CD-01-24, is for the Duke Energy Progress, LLC site to rezone the 297-acre vacant subject property from a R (Residential) to a G-I (General Industrial) zoning designation. Request Conditional District Rezoning Application, CD-01-24, is a request by the Applicant, Duke Energy Progress, LLC to rezone the 297-acre vacant subject property from a R (Residential) to a G-I (General Industrial) zoning designation. The property is generally located off of Roxboro Plant Rd. The subject property includes an Industrial future land use designation. This amendment request is to change the zoning designation on the tract listed above from R to G-I for future industrial development. Existing Land Use & Land Use Compatibility The existing land use for the subject property is vacant. The existing land uses are consistent and compatible with adjacent land uses, as follows: • North – vacant. • East – vacant. • South – vacant. • West – vacant and residential. Comprehensive Planning & Zoning Consistency Person County Planning Ordinance Section 152, Zoning Permits as well as North Carolina General Statues (NCGS) § 160D-604 & § 160D-605 requires plan consistency and a recommendation from the Planning Board and the Board of Commissioners. Zoning amendment review shall also follow specific criteria as listed in NCGS Article 7, § 160-701, as follows: Article 7. Zoning Regulation. § 160D-701. Purposes. Zoning regulations shall be made in accordance with a comprehensive plan and shall be designed to promote the public health, safety, and general welfare. To that end, the regulations may address, among other things, the following public purposes: to provide adequate light and air; to prevent the overcrowding of land; to avoid undue concentration of population; to lessen congestion in the streets; to secure safety from fire, panic, and dangers; to facilitate the efficient and adequate provision of transportation, water, sewerage, schools, parks, and other public requirements; and to promote the health, safety, morals, or general welfare of the community. The regulations shall be made with reasonable consideration, among other things, as to the character of the district and its peculiar suitability for particular uses and with a view to conserving the value of buildings and encouraging the most appropriate use of land throughout the local government's planning and development regulation jurisdiction. The regulations may not include, as a basis for denying a zoning or rezoning request from a school, the level of service of a road facility or facilities abutting the school or proximately located to the school (2019-111, s. 2.4; 2020-3, s. 4.33(a); 2020-25, s. 51(a), (b), & (d).) The Person County & City of Roxboro Joint Comprehensive Land Use Plan (Comp Plan) includes the following Guiding Principles, with relation to this rezoning request: 6 Guiding Principle No. 2 – Facilitating Sustainable Economic Growth • Guiding Principle No. 2.1 – Designate sufficient developable land and sites to support economic growth. • Guiding Principle No. 2.4 – Identify and recruit industry sectors that bring diversity to the economic/employment base. • Guiding Principle No. 2.7 – Provide utility infrastructure to support economic growth. Amending the zoning designation for the subject property to G-I will be consistent and compatible with the site’s Industrial future land use designation and Comp Plan that proposed future industrial development on the site. Upon review of Application CD-01-24, the Planning Board is to advise and comment on whether the proposed action is consistent or inconsistent with the County’s adopted Comp Plan. This “Statement of Reasonableness and Plan Consistency” may be approved in a single-statement for a motion. Specifically, the Planning Board shall provide a written recommendation to the Board of Commissioners from this single-statement addressing the Comp Plan consistency or inconsistency and any other matter, as deemed appropriate by the Planning Board. Any statement of inconsistency shall not preclude consideration or approval of the proposed amendment application by the Board of Commissioners. The Board of Commissioners shall also adopt a statement describing whether their action is consistent or inconsistent with the Comp Plan and why that action is reasonable and in the public’s interest. Morgan Street, Roxboro, NC. Chairman Puryear called the meeting to order and recognized a quorum. He stated that Commissioner Ellixson was absent due to sickness. Vice-Chairman Thomas offered an invocation, and Commissioner Royster led the group in the Pledge of Allegiance. DISCUSSION/ADJUSTMENT/APPROVAL OF AGENDA: A motion was made by Vice-Chairman Thomas and carried 4-0 to approve the agenda. INFORMAL COMMENTS: There were no individuals that appeared before the Board to make informal comments. DISCUSSION/ADJUSTMENT/APPROVAL OF CONSENT AGENDA: A motion was made by Commissioner Royster and carried 4-0 to approve the Consent Agenda with the following items: A. Budget Amendment #13 13 January 21, 2025 2 NEW BUSINESS: NON-PROFIT FUNDING REQUEST-PERSON COUNTY VETERANS COUNCIL Assistant County Manager Brian Hart stated The Vietnam Veterans Memorial Fund has announced The Wall That Heals national tour schedule for 2025. He stated that The Wall That Heals exhibit includes a three-quarter scale replica of the Vietnam Veterans Memorial along with a mobile Education Center. He stated that the 30th season of The Wall That Heals will begin on March 6, 2025, in Sebring, Florida and visit 31 communities during the year. He stated that the traveling exhibit honors the more than three million Americans who served in the U.S. Armed Forces in the Vietnam War, and it bears the names of the 58,281 men and women who made the ultimate sacrifice in Vietnam. He stated that the Person Veterans Council has worked to ensure that The Wall That Heals will be present in Roxboro from May 1-4, 2025 and is requesting $3,000 from the County to assist with costs associated with bringing The Wall That Heals to the area. Person Veterans Council President Alan Whitlow stated that he comes before the Board to ask that the County partner with the Person Veterans Council to provide funding for The Wall That Heals in Person County. He stated that the Person Veterans Council is hosting The Wall That Heals from May1- 4, 2025. He stated that it is a great honor for Roxboro, Person County, and the Person Veterans Council, as well as a great opportunity to showcase our community to visitors that will come see the exhibit. He stated that they would be advertising this event throughout the Triangle, the Triad, and Southside Virginia. He stated that the costs to bring The Wall That Heals to Roxboro and Person County is $12K. He stated that is exclusive to advertising and other ancillary expenses. He stated that Person Veterans Council has paid the $6K deposit from their available funds. He stated that they are requesting a one-time contribution of $3K from Person County to help cover the remaining cost. He stated that they would be making a similar request to the City of Roxboro at their next meeting. He stated that these contributions would cover the remaining cost to bring The Wall That Heals to Person County, allowing the Person Veterans Council to fundraise to cover the other anticipated expenses. He stated as a 501(c)(3) charity, Person Veterans Council is wholly dependent upon charitable contributions to cover their events and operating costs. He stated that Veterans are fortunate to reside in a county where they are loved and supported. He thanked the Board for their continued support of Person Veterans Council and the Veterans of Person County. Commissioner Royster stated that she appreciates the Veterans’ service and stated that this is dear to her, as her grandfather fought in WWII, and she has had other family members to fight in every war since WWII. Vice-Chairman Thomas stated that this is a beautiful thing that will bring hundreds, if not thousands, to Person County. He thanked the Veterans for all their hard work in getting this to Person County. Chairman Puryear thanked the Veterans for all they do for the community. He asked the County Manger if the funds, if approved, would come from contingency. Country Manager Katherine Cathey stated that yes, it would be her recommendation that it come from contingency. Commissioner Wilborn stated that she echoes the sentiments of the other Commissioners. 14 January 21, 2025 3 A motion was made by Commissioner Wilborn and carried 4-0 to fund the request by the Person Veteran’s Council in the amount of $3K for costs associated with The Wall That Heals. DIGITAL INCLUSION PLAN OVERVIEW Assistant County Manager Brian Hart provided an introduction to the Digital Inclusion Plan. He stated that Person County established its Digital Inclusion Taskforce to engage and collaborate with community stakeholders to identify and address digital disparities. He stated that in 2023, the Digital Inclusion Taskforce, which includes representation from County staff, the City of Roxboro, Piedmont Community College, and the Roxboro Housing Authority, began working on development of the Digital Inclusion Plan. He stated that this presentation will provide an overview of the purpose of the plan, planning efforts, and the process for implementation. He introduced Cooperative Extension staff, Director Bo Freeman and Digital Skills Agent Ashley Cummings. The three presented the following: 15 January 21, 2025 4 16 January 21, 2025 5 17 January 21, 2025 6 18 January 21, 2025 7 19 January 21, 2025 8 20 January 21, 2025 9 21 January 21, 2025 10 Commissioner Wilborn stated this past weekend she saw a link posted by the State showing where there are public WI-FI places. She stated that it is only showing the Public Library for Person County. She stated she is unsure how we could get that updated. Freeman stated that he would work on it. Wilborn expressed thanks for all the work that has gone into this plan and that there is a lot of great information in it. She asked if the report was accessible to the public. Hart stated that it was brought before the Board of Commissioners first before being made accessible to the public. Commissioner Royster stated that it is good to see and know that people are looking at how Person County is progressing. She mentioned the Courtney Jordan Foundation. Wilborn asked if there was a way to compare Person County to other counties. Freeman stated that in speaking with representatives at the State level, they have suggested some things they may want to polish a little bit more. He stated that they have some really good connections that they could bring in as well as the NCDIT report, as Person County was featured in it. Chairman Puryear stated that he realizes it is fluid and recognizes it is off to a great start. He stated that he appreciates all the time and effort everyone has put into this plan. A motion was made by Commissioner Royster and carried 4-0 to adopt the Person County Digital Inclusion Plan. 22 January 21, 2025 11 AMENDMENT TO THE RESOLUTION ESTABLISHING 2025 SCHEDULE OF REGULAR MEETINGS FOR THE BOARD OF COMMISSIONERS County Manager Katherine Cathey advised the Board that their annual retreat is scheduled for February 18, 2025 at 9:00 a.m. She stated that the retreat is scheduled to take place here in the Commissioners’ Boardroom. She stated that another option is to move the location to the Kirby Cultural Arts Complex. She asked the desire of the Board. Chairman Puryear stated that there is more room at the Kirby, and it is a nicer space. A motion was made by Chairman Puryear and carried 4-0 to approve the Resolution Amending the 2025 Schedule of Regular Meetings for the Board of Commissioners to change the location of the February 18, 2025 Annual Retreat to the Kirby Cultural Arts Complex. 23 January 21, 2025 12 24 January 21, 2025 13 25 January 21, 2025 14 CHAIRMAN’S REPORT Chairman Puryear stated that he attended the following:  Chamber Banquet – He advised that there were lots in attendance and commended the Chamber for an outstanding banquet.  Library Advisory Board Meeting  MLK Breakfast – He advised that this event was outstanding. MANAGER’S REPORT County Manager Katherine Cathey expressed thanks to Cooperative Extension staff, Bo Freeman and Ashley Cummings, for taking the lead on the Digital Inclusion Plan, and that it is great to see so many people involved, including Kerr-Tar COG, Assistant County Manager Brian Hart, and GIS Director Sallie Vaughan. She stated that the County has had an overnight warming center that has been open since Sunday evening. She advised that there have been no guests thus far. She reminded citizens that the center is located at the Human Services Building in the FEMA shelter. She expressed thanks to volunteers who have been supporting the center during this extremely cold weather, as well as to Emergency Services Director Thomas Schwalenberg for his efforts to pull all of this together, and to the Sheriff’s Office for assisting as well. COMMISSIONER REPORTS/COMMENTS Vice-Chairman Thomas stated that he attended the Chamber Banquet, which was well attended, and stated that they have an awesome board that worked hard on this event. He reminded everyone to mark their calendars for The Wall That Heals. He stated that it will be at the Sportsplex on April 29, 2025, and run from May 1-4, 2025. Commissioner Wilborn stated that she attended the following:  Airport Commission Meeting  District Director Meeting for the NC Association of County Commissioners (NCACC)  Upper Neuse River Basin Association (UNRBA) Meeting She stated that she was unable to attend the Chamber Banquet due to having the flu. She congratulated Tunnel Creek for being named Small Business of the Year. She expressed her condolences to the family of former Commissioner Tommy Bowes, and stated that she will not be able to attend the wake and funeral due to being out of town. SERVICES: REI will: 1.1 Act for CLIENT in a professional manner, using that degree of care and skill ordinarily exercised by and consistent with the standards of care of comparative industry practicing in the same or similar location to THE PROJECT. 1.2 Provide only those services that, in the opinion of REI, lie within the technical or professional areas of expertise of REI a nd which REI is adequately staffed and equipped to perform. 1.3 Perform all technical services under the general direction of a Registered Professional Engineer and in substantial accordanc e with the basic requirements of the appropriate Standards of The American Society for Testing and Materials, where applicable, or other standards designated by CLIENT and accepted by REI. 1.4 Maintain ownership of all instruments of service. All reports, plans, specifications, field data and notes and other documents, including all documents on electronic media, prepared by REI as instruments of service shall remain the property of REI. REI will distribute reports only to those persons, organizations or agencies specifically designated in writing by CLIENT or his authorized representatives; or as required by law. REI grants to CLIENT a non-transferable, irrevocable and perpetual royalty-free license to retain and use such instruments of service for any purpose in connection with the PROJECT specified in the Proposal, upon ful l payment by CLIENT for REI’s services. CLIENT may also use such instruments of service for other purposes only wit h REI’s written consent. Re-use of any such instruments of service by CLIENT on any extension of the PROJECT or on any other project without the written authorization of REI shall be at CLIENT’s sole risk and CLIENT shall indemnify, defend and save REI and its employees, officers and directors harmless from and against any loss, cost or expense suffered as a result of, or arising out of, or in connection with such re-use. 1.5 Retain samples for a period of 30 days following completion of the PROJECT, unless requested otherwise, after which samples will be discarded. 1.6 Retain all pertinent records relating to the services performed for a period of three years following completion of the PROJECT, during which period the records will be made available to CLIENT at all reasonable times. ARTICLE 2. CLIENT'S RESPONSIBILITIES: CLIENT or his authorized representative will: 2.1 Provide REI with a written scope of work clearly itemizing REI’s duties in connection with THE PROJECT. 2.2 REI shall indicate to the CLIENT the information needed for rendering of services hereunder. The CLIENT shall provide to REI such information as is available to the CLIENT and the CLIENT’s consultants and contractors, and REI shall be entitled to rely upon the accuracy and completeness thereof. The CLIENT recognizes that it is impossible for REI to assure the accuracy, completeness and sufficiency of such information, either because it is impossible to verify, or because of errors or omissions which may h ave occurred in assembling the information the CLIENT is providing. Accordingly, the CLIENT agrees, to the fullest extent permitted by law, to indemnify and hold REI and REI’s sub-consultants harmless from any claim, liability or cost (including reasonable attorney’s fees and costs of defense) for injury or loss arising or allegedly arising from errors, omissions or inaccuracies in documents, or other information provided by the CLIENT to REI. 2.3 Furnish right of entry onto The PROJECT site for REI to make the necessary field studies. REI will endeavor to minimize damage to the land but makes no guarantee to restore the site to its original condition unless a separate agreement is made for such restoration, in which case REI shall add the cost of restoration to the fee for The PROJECT. 2.4 Designate in writing those persons, organizations, or agencies to be contacted in the event conditions are revealed during th e execution of REI's study that would require possible alteration of the study or would potentially influence design that is proceeding in parallel with the study. ARTICLE 3. GENERAL CONDITIONS: 3.1 REI, by the performance of services covered hereunder, does not in any way assume, abridge or abrogate any of those duties, responsibilities or authorities with regard to The PROJECT customarily vested in The PROJECT architects, design engineers, or any other design agencies or authorities. 3.2 REI shall not be responsible for acts of omissions of any party or parties involved in the design of The PROJECT or the failure of any contractor or subcontractor to construct any item on THE PROJECT in accordance with recommendations contained in any correspondence or verbal recommendations issued by REI. 3.3 This Agreement may be terminated by either party on receipt of written notice or by mutual agreement. If this Agreement is terminated by either party, REI shall be paid in full for all services performed through the termination date, and the CLIENT shall be provided with a complete report of the results of tests and analysis conducted prior to termination. 3.4 Neither CLIENT nor REI may delegate, assign sublet or transfer his duties or interest in the Agreement without the written consent of the other party. 3.5 REI makes no warranty, either expressed or implied, as to the findings, recommendations, plans, specifications, or profession al advice. REI has endeavored to perform the services pursuant to generally accepted standards of practice in effect at the tim e of performance. 3.6 When REI does not prepare the Contract Documents for the project, the CLIENT waives all claims against REI arising from or in any way connected with errors, omissions, conflicts or ambiguities in the Contract Documents prepared by others. In addition , the CLIENT agrees, to the fullest extent permitted by law, to indemnify and hold REI harmless from any damage, liability or cost, including reasonable attorneys' fees and defense costs, arising from any errors or omissions contained in the plans, specifications or other Contract Documents prepared by others, except for the sole negligence or willful misconduct of REI. 3.7 REI will not be responsible for and will not have control or charge of specific means, methods, techniques, sequences or procedures of construction or other field activities selected by any agent or agreement of CLIENT, or safety precautions and programs incident thereto. ARTICLE 4. INSURANCE: 49 Proposal No. P25RAL-019 Page 4 of 5 4.1 REI shall secure and maintain throughout the full period of this Agreement sufficient insurance to protect it adequately from claims under applicable Workmen's Compensation Acts and from claims for bodily injury, death or property damage as may arise from the performance of services under this Agreement. REI will, upon request, file certification of such insurance coverage with CLI ENT or his authorized representative. 4.2 No insurance of whatever kind or type, which may be carried by REI, is to be considered as in any way limiting the contractor's or subcontractor's responsibility for damages resulting from his operations or for furnishing work and materials to T he PROJECT. CLIENT agrees, therefore, to include, or cause to be included in The PROJECT'S construction contract, such requirements for insurance coverage and performance bonds to be secured and maintained by THE PROJECT contractor as CLIENT deems adequate to indemnify CLIENT, REI, and other concerned parties, against claims for damages and to insure compliance of work performance and materials with PROJECT requirements. ARTICLE 5. CONSEQUENTIAL DAMAGES AND LIMITATIONS OF LIABILITY: 5.1 Notwithstanding any other provision to the contrary in this Agreement and to the fullest extent permitted by law: (i) REI shall not be liable, whether based on contract, tort, negligence, strict liability, warranty, indemnity, error and omission or any other cause whatsoever, for any consequential, special, incidental, indirect, punitive or exemplary damages of CLIENT, or damages of CLIENT arising from or in connection with loss of power, loss of use, loss of revenue or profit (actual or anticipated), loss by reason of shutdown or non-operation, increased cost of construction, cost of capital, cost of replacement power or customer claims, and CLIENT hereby releases REI from any such liability; and (ii) in no event shall the cumulative aggregate liability of REI, or its employees, officers or directors, to CLIENT resulting from, arising out of or in connection with the performance or nonperformance of the services o r other obligations under this Agreement, exceed the lesser of (i) the total compensation paid to REI pursuant to this Agreement, or (ii) $10,000.00, regardless of the legal theory under which such liability is imposed. The remedies stated in this Agreement are CLIENT's sole and exclusive remedies for any failure by REI to comply with obligations to CLIENT. ARTICLE 6. PAYMENT: 6.1 CLIENT will pay REI for services and expenses in accordance with REI’s proposal. REI’s invoices will be presented at the completion of its work or monthly and will be paid within thirty (30) days of receipt by the CLIENT or his authorized representative. 6.2 Accounts beyond 30 days will be considered delinquent and shall be subject to service charge at a rate of 1.5% per month of delinquent amount. 6.3 REI shall be paid in full for all services under the Agreement, including any overruns of CLIENT'S contract or any unforeseen need for REI’s services exceeding original contract requirements. Payment for such services shall be made irrespective of any cla im by CLIENT for compensation for additional work conducted. Any such claim shall in no respect delay payment of fees for services performed by REI. ARTICLE 7. EXTENT OF AGREEMENT: The Agreement, including the proposal and these terms and conditions, represents the entire agreement between CLIENT and REI and supersedes all prior negotiations, representations or agreements, written or oral. The agreement may be amended only by written instrument signed by CLIENT and REI. The parties to this Agreement may from time to time by mutual agreement seek to modify, extend or enlarge the services described in the Proposal. In the event the parties agree to a change to add additional servi ces, or to make other modifications to the services, REI’s compensation, the schedule and any other relevant terms and conditions of the Proposal shall be equitably adjusted prior to performance of such services. ARTICLE 8. MEDIATION: 8.1 In an effort to resolve any conflicts that arise during the design or construction of the project or following the completion of the project, the Client and REI agree that all disputes between them arising out of or relating to this Agreement shall be sub mitted to nonbinding mediation unless the parties mutually agree otherwise. The Client and REI further agree to include a similar medi ation provision in all agreements with independent contractors and consultants retained for the project and to require all independent contractors and consultants also to include a similar mediation provision in all agreements with subcontractors, subconsultan ts, suppliers or fabricators so retained, thereby providing for mediation as the primary method for dispute resolu tion between the parties to those agreements. ARTICLE 9. CERTIFICATE OF MERIT: The CLIENT shall make no claim for professional negligence, either directly or by way of a cross complaint against REI unless the CLIENT has first provided REI with a written certification executed by an independent consultant currently practicing in the same discipline as REI and licensed in the State where the work was performed. This certification shall: a) contain the name and license of the certifier; b) specify the acts or omissions that the certifier contends are not in conformance with the standard of care for a consultant performing professional services under similar circumstances; and c) state in detail the basis for the certifier's opinion th at such acts or omissions do not conform to the standard of care. This certificate shall be provided to REI not less than thirty (30) days prior to the presentation of any claim or the institution of any arbitration, mediation or judicial proceeding. This Certificate of Merit clause will take precedence over any existing state law in force at the time of the claim or demand for arbitration. The following is an outline of the proposed services for Condition Assessment (PCA) and Moisture Survey (MS): I. VISUAL ASSESSMENT A. Meet with representatives of Client’s onsite staff to discuss the history of moisture intrusion problems, if any, observed at this building. B. Perform a visual survey at reasonably accessible, exposed surfaces of the Roof and Exterior Wall components at the areas of reported moisture intrusion to locate specific problems, identify conditions that may be contributing to reported moisture intrusion and assess the overall needs of the components in question. 1. WATER TESTING Perform rilem water tube testing on Exterior Wall components to evaluate the amount of water absorption in the masonry CMU. III. MOISTURE SURVEY Conduct a roof moisture survey in general accordance with ASTM C 1153 Standard Practice for Location of Wet Insulation in Roofing Systems using Infrared Imaging, current edition. 1. Complete survey using an Autel Evo 2 Dual 640T unmanned aircraft with thermal imaging sensor. Aircraft will be operated by a properly certified pilot through FAA's Small UAS Rule (Part 107). 2. Examine all reasonably accessible roofing surfaces through hand-held infrared equipment to locate areas of high heat loss. Areas may be outlined in spray paint. 3. Confirmation of wet areas may be made at thermal anomalies with an electrical impedance scanner for non-destructive confirmation in general accordance with AST MD 7954 and/or a moisture meter at cored locations. Photographs are taken to highlight areas of concern and thermal anomalies. IV. REPORT Provide a report sealed by a North Carolina Licensed Professional Engineer outlining the results of our investigation. Based on conditions determined through careful review of the Roof and Exterior Wall components and building interior/exterior, an outline of necessary or desired remedial procedures will be provided. The recommended corrective actions will be outlined with the estimated cost of the work. V. FEES These services will be provided at a fixed cost of Five Thousand Dollars $5,000.00. Owner shall provide personnel to be present during the survey for roof access and safety purposes. VI. ADDITIONAL SERVICES Items not contained in the Scope of Services or outlined herein will be deemed as additional services. Additional services will be provided upon prior approval by Client in accordance with our standard fee schedule (attached to this proposal). VII. EXCLUSIONS Site visits for additional field investigation or meetings (beyond those specified above) are not included in this proposal. SERVICES: REI will: 1.1 Act for CLIENT in a professional manner, using that degree of care and skill ordinarily exercised by and consistent with the standards of care of comparative industry practicing in the same or similar location to THE PROJECT. 1.2 Provide only those services that, in the opinion of REI, lie within the technical or professional areas of expertise of REI a nd which REI is adequately staffed and equipped to perform. 1.3 Perform all technical services under the general direction of a Registered Professional Engineer and in substantial accordanc e with the basic requirements of the appropriate Standards of The American Society for Testing and Materials, where applicable, or other standards designated by CLIENT and accepted by REI. 1.4 Maintain ownership of all instruments of service. All reports, plans, specifications, field data and notes and other documents, including all documents on electronic media, prepared by REI as instruments of service shall remain the property of REI. REI will distribute reports only to those persons, organizations or agencies specifically designated in writing by CLIENT or his authorized representatives; or as required by law. REI grants to CLIENT a non-transferable, irrevocable and perpetual royalty-free license to retain and use such instruments of service for any purpose in connection with the PROJECT specified in the Proposal, upon ful l payment by CLIENT for REI’s services. CLIENT may also use such instruments of service for other purposes only wit h REI’s written consent. Re-use of any such instruments of service by CLIENT on any extension of the PROJECT or on any other project without the written authorization of REI shall be at CLIENT’s sole risk and CLIENT shall indemnify, defend and save REI and its employees, officers and directors harmless from and against any loss, cost or expense suffered as a result of, or arising out of, or in connection with such re-use. 1.5 Retain samples for a period of 30 days following completion of the PROJECT, unless requested otherwise, after which samples will be discarded. 1.6 Retain all pertinent records relating to the services performed for a period of three years following completion of the PROJECT, during which period the records will be made available to CLIENT at all reasonable times. ARTICLE 2. CLIENT'S RESPONSIBILITIES: CLIENT or his authorized representative will: 2.1 Provide REI with a written scope of work clearly itemizing REI’s duties in connection with THE PROJECT. 2.2 REI shall indicate to the CLIENT the information needed for rendering of services hereunder. The CLIENT shall provide to REI such information as is available to the CLIENT and the CLIENT’s consultants and contractors, and REI shall be entitled to rely upon the accuracy and completeness thereof. The CLIENT recognizes that it is impossible for REI to assure the accuracy, completeness and sufficiency of such information, either because it is impossible to verify, or because of errors or omissions which m ay have occurred in assembling the information the CLIENT is providing. Accordingly, the CLIENT agrees, to the fullest extent permitted by law, to indemnify and hold REI and REI’s sub-consultants harmless from any claim, liability or cost (including reasonable attorney’s fees and costs of defense) for injury or loss arising or allegedly arising from errors, omissions or inaccuracies in documents, or other information provided by the CLIENT to REI. 2.3 Furnish right of entry onto The PROJECT site for REI to make the necessary field studies. REI will endeavor to minimize damage to the land but makes no guarantee to restore the site to its original condition unless a separate agreement is made for such restoration, in which case REI shall add the cost of restoration to the fee for The PROJECT. 2.4 Designate in writing those persons, organizations, or agencies to be contacted in the event conditions are revealed during th e execution of REI's study that would require possible alteration of the study or would potentially influence design that is proceeding in parallel with the study. ARTICLE 3. GENERAL CONDITIONS: 3.1 REI, by the performance of services covered hereunder, does not in any way assume, abridge or abrogate any of those duties, responsibilities or authorities with regard to The PROJECT customarily vested in The PROJECT architects, design engineers, or any other design agencies or authorities. 3.2 REI shall not be responsible for acts of omissions of any party or parties involved in the design of The PROJECT or the failure of any contractor or subcontractor to construct any item on THE PROJECT in accordance with recommendations contained in any correspondence or verbal recommendations issued by REI. 3.3 This Agreement may be terminated by either party on receipt of written notice or by mutual agreement. If this Agreement is terminated by either party, REI shall be paid in full for all services performed through the termination date, and the CLIENT shall be provided with a complete report of the results of tests and analysis conducted prior to termination. 3.4 Neither CLIENT nor REI may delegate, assign sublet or transfer his duties or interest in the Agreement without the written consent of the other party. 3.5 REI makes no warranty, either expressed or implied, as to the findings, recommendations, plans, specifications, or profession al advice. REI has endeavored to perform the services pursuant to generally accepted standards of practice in effect at the tim e of performance. 3.6 When REI does not prepare the Contract Documents for the project, the CLIENT waives all claims against REI arising from or in any way connected with errors, omissions, conflicts or ambiguities in the Contract Documents prepared by others. In addition , the CLIENT agrees, to the fullest extent permitted by law, to indemnify and hold REI harmless from any damage, liability or cost, including reasonable attorneys' fees and defense costs, arising from any errors or omissions contained in the plans, specific ations or other Contract Documents prepared by others, except for the sole negligence or willful misconduct of REI. 3.7 REI will not be responsible for and will not have control or charge of specific means, methods, techniques, sequences or procedures of construction or other field activities selected by any agent or agreement of CLIENT, or safety precautions and programs incident thereto. ARTICLE 4. INSURANCE: 56 Proposal No. P25RAL-017 Page 6 of 7 4.1 REI shall secure and maintain throughout the full period of this Agreement sufficient insurance to protect it adequately from claims under applicable Workmen's Compensation Acts and from claims for bodily injury, death or property damage as may arise from the performance of services under this Agreement. REI will, upon request, file certification of such insurance coverage with CLI ENT or his authorized representative. 4.2 No insurance of whatever kind or type, which may be carried by REI, is to be considered as in any way limiting the contractor's or subcontractor's responsibility for damages resulting from his operations or for furnishing work and materials to T he PROJECT. CLIENT agrees, therefore, to include, or cause to be included in The PROJECT'S construction contract, such requirements for insurance coverage and performance bonds to be secured and maintained by THE PROJECT contractor as CLIENT deems adequate to indemnify CLIENT, REI, and other concerned parties, against claims for damages and to insure compliance of work performance and materials with PROJECT requirements. ARTICLE 5. CONSEQUENTIAL DAMAGES AND LIMITATIONS OF LIABILITY: 5.1 Notwithstanding any other provision to the contrary in this Agreement and to the fullest extent permitted by law: (i) REI shall not be liable, whether based on contract, tort, negligence, strict liability, warranty, indemnity, error and omission or any other cause whatsoever, for any consequential, special, incidental, indirect, punitive or exemplary damages of CLIENT, or damages of CLIENT arising from or in connection with loss of power, loss of use, loss of revenue or profit (actual or anticipated), loss by reason of shutdown or non-operation, increased cost of construction, cost of capital, cost of replacement power or customer claims, and CLIENT hereby releases REI from any such liability; and (ii) in no event shall the cumulative aggregate liability of REI, or its employees, officers or directors, to CLIENT resulting from, arising out of or in connection with the performance or nonperformance of the services o r other obligations under this Agreement, exceed the lesser of (i) the total compensation paid to REI pursuant to this Agreement, or (ii) $10,000.00, regardless of the legal theory under which such liability is imposed. The remedies stated in this Agreement are CLIENT's sole and exclusive remedies for any failure by REI to comply with obligations to CLIENT. ARTICLE 6. PAYMENT: 6.1 CLIENT will pay REI for services and expenses in accordance with REI’s proposal. REI’s invoices will be presented at the completion of its work or monthly and will be paid within thirty (30) days of receipt by the CLIENT or his authorized representative. 6.2 Accounts beyond 30 days will be considered delinquent and shall be subject to service charge at a rate of 1.5% per month of delinquent amount. 6.3 REI shall be paid in full for all services under the Agreement, including any overruns of CLIENT'S contract or any unforeseen need for REI’s services exceeding original contract requirements. Payment for such services shall be made irrespective of any cla im by CLIENT for compensation for additional work conducted. Any such claim shall in no respect delay payment of fees for services performed by REI. ARTICLE 7. EXTENT OF AGREEMENT: The Agreement, including the proposal and these terms and conditions, represents the entire agreement between CLIENT and REI and supersedes all prior negotiations, representations or agreements, written or oral. The agreement may be amended only by written instrument signed by CLIENT and REI. The parties to this Agreement may from time to time by mutual agreement seek to modify, extend or enlarge the services described in the Proposal. In the event the parties agree to a change to add additional servi ces, or to make other modifications to the services, REI’s compensation, the schedule and any other relevant terms and conditions of the Proposal shall be equitably adjusted prior to performance of such services. ARTICLE 8. MEDIATION: 8.1 In an effort to resolve any conflicts that arise during the design or construction of the project or following the completion of the project, the Client and REI agree that all disputes between them arising out of or relating to this Agreement shall be sub mitted to nonbinding mediation unless the parties mutually agree otherwise. The Client and REI further agree to include a similar medi ation provision in all agreements with independent contractors and consultants retained for the project and to require all independent contractors and consultants also to include a similar mediation provision in all agreements with subcontractors, subconsultan ts, suppliers or fabricators so retained, thereby providing for mediation as the primary method for dispute resolu tion between the parties to those agreements. ARTICLE 9. CERTIFICATE OF MERIT: The CLIENT shall make no claim for professional negligence, either directly or by way of a cross complaint against REI unless the CLIENT has first provided REI with a written certification executed by an independent consultant currently practicing in the same discipline as REI and licensed in the State where the work was performed. This certification shall: a) contain the name and license of the certifier; b) specify the acts or omissions that the certifier contends are not in conformance with the standard of care for a consultant performing professional services under similar circumstances; and c) state in detail the basis for the certifier's opinion th at such acts or omissions do not conform to the standard of care. This certificate shall be provided to REI not less than thirty (30) days prior to the presentation of any claim or the institution of any arbitration, mediation or judicial proceeding. This Certificate of Merit clause will take precedence over any existing state law in force at the time of the claim or demand for arbitration. All members’ terms will expire on February 28, 2025. All members serve for four years, and all terms expire at the same time. In 2021, each commissioner nominated one member for appointment. I reached out to the current members, and all members are willing to serve an additional term. (a) Personnel. – Except as otherwise provided herein, the board of equalization and review of each county shall be composed of the members of the board of county commissioners. Upon the adoption of a resolution so providing, the board of commissioners is authorized to appoint a special board of equalization and review to carry out the duties imposed under this section. The resolution shall provide for the membership, qualifications, terms of office and the filling of vacancies on the board. The board of commissioners shall also designate the chairman of the special board. The resolution may also authorize a taxpayer to appeal a decision of the special board with respect to the listing or appraisal of his property or the property of others to the board of county commissioners. The resolution shall be adopted not later than the first Monday in March of the year for which it is to be effective and shall continue in effect until revised or rescinded. It shall be entered in the minutes of the meeting of the board of commissioners and a copy thereof shall be forwarded to the Department of Revenue within 15 days after its adoption. Nothing in this subsection (a) shall be construed as repealing any law creating a special board of equalization and review or creating any board charged with the duties of a board of equalization and review in any county. (b) Compensation. – The board of county commissioners shall fix the compensation and allowances to be paid members of the board of equalization and review for their services and expenses. (c) Oath. – Each member of the board of equalization and review shall take the oath required by Article VI, § 7 of the North Carolina Constitution with the following phrase added to it: "that I will not allow my actions as a member of the board of equalization and review to be influenced by personal or political friendships or obligations,". The oath must be filed with the clerk of the board of county commissioners. (d) Clerk and Minutes. – The assessor shall serve as clerk to the board of equalization and review, shall be present at all meetings, shall maintain accurate minutes of the actions of the board, and shall give to the board such information as he may have or can obtain with respect to the listing and valuation of taxable property in the county. (e) Time of Meeting. – Each year the board of equalization and review shall hold its first meeting not earlier than the first Monday in April and not later than the first Monday in May. In years in which a county does not conduct a real property revaluation, the board shall complete its duties on or before the third Monday following its first meeting unless, in its opinion, a longer period of time is necessary or expedient to a proper execution of its responsibilities. Except as provided in subdivision (g)(5) of this section, the board may not sit later than July 1 except to hear and determine requests made under the provisions of subdivision (g)(2), below, when such requests are made within the time prescribed by law. In the year in which a county conducts a real property revaluation, the board shall complete its duties on or before December 1, except that it may sit after that date to hear and determine requests made under the provisions of subdivision (g)(2), below, when such requests are made within the time prescribed by law. From the time of its first meeting until its adjournment, the board shall meet at such times as it deems reasonably necessary to perform its statutory duties and to receive requests and hear the appeals of taxpayers under the provisions of subdivision (g)(2), below. 112 G.S. 105-322 Page 2 (f) Notice of Meetings and Adjournment. – A notice of the date, hours, place, and purpose of the first meeting of the board of equalization and review shall be published at least three times in some newspaper having general circulation in the county, the first publication to be at least 10 days prior to the first meeting. The notice shall also state the dates and hours on which the board will meet following its first meeting and the date on which it expects to adjourn; it shall also carry a statement that in the event of earlier or later adjournment, notice to that effect will be published in the same newspaper. Should a notice be required on account of earlier adjournment, it shall be published at least once in the newspaper in which the first notice was published, such publication to be at least five days prior to the date fixed for adjournment. Should a notice be required on account of later adjournment, it shall be published at least once in the newspaper in which the first notice was published, such publication to be prior to the date first announced for adjournment. (g) Powers and Duties. – The board of equalization and review has the following powers and duties: (1) Duty to Review Tax Lists. – The board shall examine and review the tax lists of the county for the current year to the end that all taxable property shall be listed on the abstracts and tax records of the county and appraised according to the standard required by G.S. 105‑283, and the board shall correct the abstracts and tax records to conform to the provisions of this Subchapter. In carrying out its responsibilities under this subdivision (g)(1), the board, on its own motion or on sufficient cause shown by any person, shall: a. List, appraise, and assess any taxable real or personal property that has been omitted from the tax lists. b. Correct all errors in the names of persons and in the description of properties subject to taxation. c. Increase or reduce the appraised value of any property that, in the board's opinion, has been listed and appraised at a figure that is below or above the appraisal required by G.S. 105‑283; however, the board shall not change the appraised value of any real property from that at which it was appraised for the preceding year except in accordance with the terms of G.S. 105‑286 and 105‑287. d. Cause to be done whatever else is necessary to make the lists and tax records comply with the provisions of this Subchapter. e. Embody actions taken under the provisions of subdivisions (g)(1)a through (g)(1)d, above, in appropriate orders and have the orders entered in the minutes of the board. f. Give written notice to the taxpayer at the taxpayer's last known address in the event the board, by appropriate order, increases the appraisal of any property or lists for taxation any property omitted from the tax lists under the provisions of this subdivision (g)(1). (2) Duty to Hear Taxpayer Appeals. – On request, the board of equalization and review shall hear any taxpayer who owns or controls property taxable in the county with respect to the listing or appraisal of the taxpayer's property or the property of others. a. A request for a hearing under this subdivision (g)(2) shall be made in writing to or by personal appearance before the board prior to its adjournment. However, if the taxpayer requests review of a decision made by the board under the provisions of subdivision (g)(1), above, notice of which was mailed fewer than 15 days prior to the board's 113 G.S. 105-322 Page 3 adjournment, the request for a hearing thereon may be made within 15 days after the notice of the board's decision was mailed. b. Taxpayers may file separate or joint requests for hearings under the provisions of this subdivision (g)(2) at their election. c. At a hearing under provisions of this subdivision (g)(2), the board, in addition to the powers it may exercise under the provisions of subdivision (g)(3), below, shall hear any evidence offered by the appellant, the assessor, and other county officials that is pertinent to the decision of the appeal. Upon the request of an appellant, the board shall subpoena witnesses or documents if there is a reasonable basis for believing that the witnesses have or the documents contain information pertinent to the decision of the appeal. d. On the basis of its decision after any hearing conducted under this subdivision (g)(2), the board shall adopt and have entered in its minutes an order reducing, increasing, or confirming the appraisal appealed or listing or removing from the tax lists the property whose omission or listing has been appealed. The board shall notify the appellant by mail as to the action taken on the taxpayer's appeal not later than 30 days after the board's adjournment. (3) Powers in Carrying Out Duties. – In the performance of its duties under subdivisions (g)(1) and (g)(2), above, the board of equalization and review may exercise the following powers: a. It may appoint committees composed of its own members or other persons to assist it in making investigations necessary to its work. It may also employ expert appraisers in its discretion. The expense of the employment of committees or appraisers shall be borne by the county. The board may, in its discretion, require the taxpayer to reimburse the county for the cost of any appraisal by experts demanded by the taxpayer if the appraisal does not result in material reduction of the valuation of the property appraised and if the appraisal is not subsequently reduced materially by the board or by the Department of Revenue. b. The board, in its discretion, may examine any witnesses and documents. It may place any witnesses under oath administered by any member of the board. It may subpoena witnesses or documents on its own motion, and it must do so when a request is made under the provisions of subdivision (g)(2)c, above. A subpoena issued by the board shall be signed by the chair of the board, directed to the witness or to the person having custody of the document, and served by an officer authorized to serve subpoenas. Any person who willfully fails to appear or to produce documents in response to a subpoena or to testify when appearing in response to a subpoena shall be guilty of a Class 1 misdemeanor. (4) Power to Submit Reports. – Upon the completion of its other duties, the board may submit to the Department of Revenue a report outlining the quality of the reappraisal, any problems it encountered in the reappraisal process, the number of appeals submitted to the board and to the Property Tax Commission, the success rate of the appeals submitted, and the name of 114 G.S. 105-322 Page 4 the firm that conducted the reappraisal. A copy of the report should be sent by the board to the firm that conducted the reappraisal. (5) Duty to Change Abstracts and Records After Adjournment. – Following adjournment upon completion of its duties under subdivisions (g)(1) and (g)(2) of this subsection, the board may continue to meet to carry out the following duties: a.
