06-03-2024 Closed Session Meeting Minutes BOC- Redacted June 3, 2024, Closed Session Page 1 of 3 Person County Board of Commissioners Minutes of a Closed Session DATE: June 3, 2024 MEMBERS OF BOARD OF COMMISSIONERS PRESENT: Chairman Powell, Vice Chairman Sims, Commissioner Palmer, Commissioner Puryear, and Commissioner Thomas OTHERS PRESENT: County Manager, Katherine Cathey, Clerk to the Board, Michele Solomon, County Attorney, T.C. Morphis, Jr., and Planning and Zoning Director, Chris Bowley A motion was made by Commissioner Palmer and carried 5-0 to enter into the following Closed Sessions. Closed Session #1 per General Statute 143-318.11(a)(3) for the purpose to consult with the county attorney in order to preserve the attorney-client privilege with the following individuals permitted to attend: County Manager Katherine Cathey, Clerk to the Board Michele Solomon, County Attorney T.C. Morphis, Jr., Planning and Zoning Director Chris Bowley, and Economic Development Director Brandy Lynch, followed by Closed Session #2 per General Statute 143-318.11(a)(5) for the purpose to instruct the public body's staff concerning the position to be taken by or on behalf of the public body in negotiating the price and other material terms of a contract or proposed contract for the acquisition of real property by purchase, option, exchange, or lease with the following individuals permitted to attend: County Manager Katherine Cathey, Clerk to the Board Michele Solomon, County Attorney T.C. Morphis, Jr., and Economic Development Director Brandy Lynch. Chairman Powell called the Closed Sessions to order at 7:09 p.m. CLOSED SESSION #1 June 3, 2024, Closed Session Page 2 of 3 Morphis provided an update to the MEC case. He stated that Dominion Energy has moved to intervene; which was granted last week. Morphis provided an update on the Main Stream case. He stated that Economic Development Director Brandy Lynch provided him with some updates. He stated that Brandy spoke with ECS, and it appears that they need to do more testing to understand what is happening. He stated that Lynch advised him that ECS seems to think Main Stream may have made some mistakes, not only to the grading, but also to the soil brought to the site and made the issue worse. He stated that Main Stream has not expressed any interest in settlement. Cathey stated that she spoke to Lynch who advised that Golden Leaf has requested a memo from the County to put with the extension request for extending the grant. She stated that Golden Leaf will put forth the extension request to their board in August for extension of the grant. CLOSED SESSION #2 County Manager Katherine Cathey stated that before the Board is a copy of a draft Option and Purchase Agreement between PCBIC and Person County for the former Reaves property, known as the ‘doughnut hole” of the Mega Park site. She stated that PCBIC had a meeting last week and agreed to sell the property to the County for $100.00. County Attorney T.C. Morphis, Jr. advised that the reason the PCBIC is asking for a sale price of $100.00, is for legal consideration. A motion was made by Commissioner Puryear and carried 5-0 to return to open session at 7:36 p.m. A motion was made by Commissioner Puryear and carried 5-0 to approve the Option and Purchase Agreement between PCBIC and Person County in the amount of $100.00. June 3, 2024, Closed Session Page 3 of 3 RECESS: A motion was made by Commissioner Palmer and carried 5-0 to recess the meeting at 7:38 p.m. until Wednesday June 5, 2024 at 9:00 a.m. in the Commissioners’ Boardroom 215 in the Person County Office Building located at 304 S. Morgan Street, Roxboro, NC.
