03-04-2024 Closed Session Meeting Minutes BOC-Redacted March 4, 2024, Closed Session Page 1 of 2 Person County Board of Commissioners Minutes of a Closed Session DATE: March 4, 2024 MEMBERS OF BOARD OF COMMISSIONERS PRESENT: Chairman Powell, Vice Chairman Sims, Commissioner Palmer, Commissioner Puryear, and Commissioner Thomas OTHERS PRESENT: County Manager, Katherine Cathey, Clerk to the Board, Michele Solomon, County Attorney, T.C. Morphis, Jr., General Services Director, Ray Foushee, and Finance Director, Amy Wehrenberg A motion was made by Commissioner Puryear and carried 5-0 to enter into Closed Sessions #1 per General Statute 143-318.11(a)(5) to establish, or to instruct the public body's staff or negotiating agents concerning the position to be taken by or on behalf of the public body in negotiating (i) the price and other material terms of a contract or proposed contract for the acquisition of real property by purchase, option, exchange, or lease; or (ii) the amount of compensation and other material terms of an employment contract or proposed employment contract with the following individuals permitted to attend:, General Services Director Ray Foushee, and Finance Director Amy Wehrenberg, followed by Closed Session #2 per General Statute 143-318.11(a)(3) for the purpose to consult with the county attorney in order to preserve the attorney client privilege in matters related to the lawsuit Clayton v. Person County. Chairman Powell called the Closed Sessions to order at 8:02 p.m. CLOSED SESSION #1 County Manager Katherine Cathey provided an update on the status of the Human Services Building. She stated that after previous discussions with the Board, she sent Brixmor an updated Memorandum of Understanding (MOU), with the $8M sales price. She stated that she heard back from Brixmor on March 1, 2024, and they are accepting the $8M sales price for the Human Services Building, however; they sent it back with some red lines. She stated that she has forwarded the red lined version of the MOU to the County Attorney for review. She stated that Brixmor has signed the updated MOU for $8M, and she has not signed, as she is awaiting legal review, and wanted to gain feedback from the Board. She stated that to move forward with the process, Brixmor would develop a contract sales agreement to be provided to the County. March 4, 2024, Closed Session Page 2 of 2 Cathey stated that if the contract sales agreement is received in time, it could be included on the March 18, 2024 Board’s agenda, similarly to the contract for the purchase of the Carolina Pride Carwash Building. She stated that after much negotiations with Brixmor, the County is at a good place to move forward. She stated that the lease for the Human Services Building expires in August 2025, and that time is a factor. She stated that if the County decides not to pursue the purchase of the Human Services Building, that they would likely need to extend the lease with Brixmor. There was no action taken by the Board on this matter. CLOSED SESSION #2 ADJOURNMENT: A motion was made by Commissioner Puryear and carried 5-0 to adjourn the meeting at 8:24 p.m.
