04-05-2021 Closed Session Meeting Minutes BOCApril 5, 2021, Closed Session #1 Page 1 of 1 Person County Board of Commissioners Minutes of a Closed Session DATE: April 5, 2021 MEMBERS OF BOARD OF COMMISSIONERS PRESENT: Chairman Powell, Vice Chairman Puryear, Commissioner Gentry, Commissioner Palmer, and Commissioner Sims OTHERS PRESENT: County Manager, Heidi York, Clerk to the Board, Brenda Reaves, Economic Development Director, Sherry Wilborn and County Attorney, Ellis Hankins CLOSED SESSION #1 A motion was made by Commissioner Sims and carried 5-0 to enter into Closed Session #1 at 7:37pm per General Statute 143-318.11(a)(4) for the purpose of discussion of matters relating to the location or expansion of industries or other businesses in the area served by the public body, including agreement on a tentative list of economic development incentives that may be offered by the public body in negotiations with the following individuals permitted to attend: County Manager, Heidi York, Clerk to the Board, Brenda Reaves, Economic Development Director, Sherry Wilborn and County Attorney, Ellis Hankins. Chairman Powell called to order at 7:39pm. Economic Development Director, Sherry Wilborn presented Project Famous, a potential expansion at Polywood Roxboro. Ms. Wilborn said when Polywood first located in Roxboro in 2018, they employed 384 with a $35M investment in a 450M square ft. building. The new expansion will pledge an additional $61.5M in new investment with an additional 300 jobs in a 5,000 sq. ft. building. Ms. Wilborn said the potential expansion would elevate Polywood to the second largest taxpayer in the county. Ms. Wilborn told the group that Roxboro is competing with the Polywood Indiana base facility for the expansion. Ms. Wilborn presented the Board with a ten-year financial incentives proposal ranging from 60% descending to 35% of the projected total property tax for a 10-year grant projected at $1,522,331.37. Ms. Wilborn stated the state was considering a strong proposal of $2.4M. Commissioner Gentry asked where would the new facility be constructed. Ms. Wilborn said the development was proposed on an adjacent 75-acres of the current Polywood Roxboro site. Ms. Wilborn asked the Board for consensus of the financial incentives package noting formal approval would be sought following the required public hearing was conducted. County Attorney, Ellis Hankins asked Ms. Wilborn if Polywood had met all terms and conditions of the 2018 original agreement for financial incentives to which Ms. Wilborn replied affirmatively. Mr. Hankins said another written agreement would be required for any new financial incentives that were accepted. The Board gave consensus for project Famous to proceed with the financial incentives proposal as presented. A motion was made by Vice Chairman Puryear and carried 5-0 to return to open session at 7:52pm. April 5, 2021, Closed Session #2 Page 1 of 1 Person County Board of Commissioners Minutes of a Closed Session DATE: April 5, 2021 MEMBERS OF BOARD OF COMMISSIONERS PRESENT: Chairman Powell, Vice Chairman Puryear, Commissioner Gentry, Commissioner Palmer, and Commissioner Sims OTHERS PRESENT: County Manager, Heidi York, Clerk to the Board, Brenda Reaves, Economic Development Director, Sherry Wilborn and County Attorney, Ellis Hankins CLOSED SESSION #2 A motion was made by Commissioner Palmer and carried 5-0 to enter into Closed Session #2 at 7:54pm per General Statute 143-318.11(a)(5) to establish, or to instruct the public body's staff or negotiating agents concerning the position to be taken by or on behalf of the public body in negotiating (i) the price and other material terms of a contract or proposed contract for the acquisition of real property by purchase, option, exchange, or lease with the following individuals permitted to attend: County Manager, Heidi York, Clerk to the Board, Brenda Reaves, Economic Development Director, Sherry Wilborn and County Attorney, Ellis Hankins. Economic Development Director, Sherry Wilborn presented Project Cap to the Board saying the owners of the current Capital Power site were interested in donating the site to Person County for the purpose to create jobs. Ms. Wilborn said the site is zoned industrial on a 20-acre footprint with rail that could handle 16 cars, an onsite power substation, water and sewer. Currently, Capital Power plans to decommission the site by demolition to remediate the site to a grassy park area however, they would leave some or all assets should the County be interested or could identify a potential tenant with similar uses. Ms. Wilborn stated staff was in process of due diligence to assess environmental risks; Phase II environmental is in process at this time, however the timeline is not known. Ms. Wilborn said for lower risks to the county, the donation of property should be conveyed to a non-profit, PCBIC, to take title. County Attorney, Ellis Hankins said ideally, they would have the environmental report in hand prior to the conveyance so that environmental assessments could be verified. County Manager, Heidi York said staff have not yet marketed the site; however, the Board has been presented with a great opportunity. It was the consensus of the Board to proceed with the progress as outlined for the possible conveyance by donation to PCBIC. A motion was made by Commissioner Sims and carried 5-0 to return to open session at 8:10pm.
