The proceeds would finance the construction, equipping, improvement, and renovation of school facilities, including construction of a new middle school and renovations to the vacated Northern and Southern Middle School buildings for use as elementary schools to support consolidation efforts. A sworn statement of the County’s debt has been filed with the Clerk to the Board and is open for public inspection. The bond order will become effective only if approved by voters at the referendum scheduled Financial Impact: Preliminary estimates indicate that a property tax increase of $0.095 per $100 of assessed valuation (equivalent to $95.00 per $100,000) may be required to pay principal and interest on the proposed bonds. These estimates are for informational purposes and may change based on actual financing Recommended Action: a.Hold the public hearing b. Adopt the Bond Order Submitted By: 2 3 CORRECTED 06/29/2026 NOTICE OF PUBLIC HEARING BOND ORDER AUTHORIZING THE ISSUANCE OF $107,000,000 GENERAL OBLIGATION SCHOOL BONDS OF THE COUNTY OF PERSON, NORTH CAROLINA WHEREAS, the Board of Commissioners (the “Board”) of the County of Person, North Carolina (the “County”) has ascertained and hereby determines that it is necessary to pay the capital costs of constructing, equipping, improving, and renovating school facilities, including, but not limited to, the construction of a new middle school and renovations to the vacated Northern Middle School and Southern Middle School for use as elementary schools to support elementary school consolidation; and WHEREAS, an application has been filed with the Secretary of the Local Government Commission of North Carolina (the “Commission”) requesting Commission approval of the General Obligation School Bonds hereinafter described as required by the Local Government Bond Act, and the Clerk to the Board has notified the Board that the application has been accepted for submission to the Commission. NOW, THEREFORE, BE IT ORDERED by the Board of Commissioners of the County of Person, North Carolina, as follows: Section 1. To raise the money required for the purpose described above, in addition to any funds which may be made available for such purpose from any other source, General Obligation School Bonds of the County are hereby authorized and shall be issued pursuant to the Local Government Finance Act of North Carolina. The maximum aggregate principal amount of such General Obligation School Bonds authorized by this order shall be $107,000,000. Section 2. Taxes will be levied in an amount sufficient to pay the principal and interest of the General Obligation School Bonds. Section 3. A sworn statement of the County’s debt has been filed with the Clerk to the Board and is open to public inspection. Section 4. The bond order will take effect when approved by the voters of the County at a referendum scheduled for November 3, 2026. 4 The foregoing order has been introduced and a sworn statement of debt has been filed under the Local Government Bond Act showing the appraised value of the County of Person, North Carolina to be $7,757,661,461 and the net debt thereof, including the proposed bonds, to be $139,172,257. The finance officer of the County of Person, North Carolina has filed a statement estimating that the total amount of interest that will be paid on the bonds over the expected term of the bonds, if issued, is $59,988,404. A tax is authorized to be levied to pay the principal of and interest on the bonds if they are issued. The finance officer has filed a statement estimating that a property tax increase of $0.095 per $100 (equivalent to $95.00 per $100,000) of assessed valuation will be required to provide sufficient funds to pay the principal and interest on the proposed bonds. These estimates are preliminary, are for general informational purposes only, and may differ from the actual interest paid on the bonds or the actual property tax increases required to provide sufficient funds to pay the principal and interest on the bonds. Anyone who wishes to be heard on the questions of the validity of the bond order and the advisability of issuing the bonds may appear at a public hearing or an adjournment thereof to be held in the Commissioners’ Boardroom Room 215, Person County Office Building, 304 S. Sherry Wilborn, Vice-Chair Person County Board of Commissioners ATTEST: Michele Solomon, NCCCC Clerk to the Board 6 RESOLUTION SETTING A SPECIAL BOND REFERENDUM AND DIRECTING THE PUBLICATION OF NOTICE OF A SPECIAL BOND REFERENDUM AND NOTIFICATION OF THE BOARD OF ELECTIONS WHEREAS, the Board of Commissioners (the “Board”) of the County of Person, North Carolina (the “County”) has adopted the following bond order and such bond order should be submitted to the voters of the County for their approval or disapproval to comply with the constitution and laws of North Carolina: “BOND ORDER AUTHORIZING THE ISSUANCE OF $107,000,000 GENERAL OBLIGATION SCHOOL BONDS OF THE COUNTY OF PERSON, NORTH CAROLINA;” NOW, THEREFORE, be it resolved by the Board of Commissioners of the County of Person, North Carolina, as follows: (1)For the purpose of determining the question whether the qualified voters of the County shall approve or disapprove (a) the indebtedness to be incurred by the issuance of the General Obligation School Bonds of the County authorized by said bond order, which indebtedness shall be secured by a pledge of the County’s full faith and credit and (b) the levy of a tax for the payment thereof, said bond order shall be submitted to the qualified voters of said County at a special bond referendum to be held in said County on November 3, 2026. (2)The Clerk to the Board is hereby authorized and directed to publish a notice of said referendum which shall be entitled “COUNTY OF PERSON, NORTH CAROLINA NOTICE OF SPECIAL BOND REFERENDUM.” Said notice of referendum shall be published at least twice. The first publication shall be not less than 14 days and the second publication shall be not less than 7 days before the last day on which voters may register for the special bond referendum. (3)The Person County Board of Elections is hereby requested to print and distribute the necessary ballots and to provide the equipment for the holding of said referendum and to conduct and to supervise said referendum. (4)The ballots to be used at said referendum will indicate that it is being held on behalf of the County and will contain the following words: “Additional property taxes may be levied on property located in the County of Person in an amount sufficient to pay the principal of and interest on bonds if approved by the following ballot question. SHALL the order authorizing $107,000,000 of bonds plus interest to pay the capital costs of constructing, equipping, improving, and renovating school facilities, including, but not limited to, the construction of a new middle school and renovations to the vacated Northern Middle School and Southern Middle School for use as elementary schools to support elementary school consolidation, and providing that additional taxes may be levied in an amount sufficient to pay the principal of and interest on the bonds be approved, in light of the following: (1)The estimated cumulative cost over the life of the bonds, using the highest interest rate charged for similar debt over the last 20 years, would be $166,988,404 (consisting of $107,000,000 principal amount of the bonds plus $59,988,404 of interest). 7 (2)The estimated amount of property tax liability increase for each one hundred thousand dollars ($100,000) of property tax value to service the cumulative cost over the life of the bond provided above would be $95.00 per year.”; with squares labeled “YES” and “NO” beneath or beside such words in which squares the voter may record his or her choice on the question presented; and (5)The Clerk to the Board shall mail or deliver a certified copy of this resolution to the Person County Board of Elections within three days after this resolution is adopted. Sherry Wilborn, Vice-Chair Person County Board of Commissioners ATTEST: Michele Solomon, NCCCC Clerk to the Board 8 AGENDA ABSTRACT July 6, 2026 Amendment Number One to the November 1, 2023 Installment Financing Contract The Chief Financial Officer is asking the Board to act on the attached Resolution. The Resolution would allow the County to begin negotiating an amendment to an existing financing agreement and to publish the required public notice. Below is a simple explanation of what each section does: 1.Permission to Negotiate the First Amendment The County Manager and Chief Financial Officer, with guidance from the County Attorney and the County’s bond counsel, are allowed to negotiate an amendment to the financing contract for up to $10,200,000 to finance the 2026 Projects. 2.Application to the Local Government Commission (LGC) These same authorized officials are directed to submit an application to the LGC seeking its approval of the financing amendment and related actions. 3.Hiring Professional Advisors The authorized officials, with advice from the County Attorney, are authorized and directed to retain the assistance of the following professionals: •Parker Poe Adams & Bernstein LLP as bond counsel •DEC Associates, Inc. as municipal advisor •PNC Capital Markets LLC as underwriter •U.S. Bank Trust Company, National Association as trustee 4.Public Hearing The Board of Commissioners will hold a public hearing on July 20, 2026, at 9:00 a.m. in Room 215 of the Person County Office Building. The hearing will cover the proposed amendment and financing for the 2026 Projects. 5.Public Notice The Clerk to the Board is directed to publish a notice of the Public Hearing once in a qualified newspaper of general circulation within the County. The notice must appear at least 10 days before the hearing. 6.Repealing Conflicting Actions Any past motions or resolutions that conflict with this one are repealed. Reimbursement 9 The County intends to reimburse itself for certain project expenses (up to $10,200,000) that were or will be paid within 60 days before this Resolution is adopted, using funds from the financing amendment. 8.Effective Date This Resolution takes effect immediately upon adoption. The County expects to borrow up to $10,200,000 to pay for improvements to several public school buildings. These projects include: •Adding classrooms and improving safety, security, and parking at Stories Creek Elementary School. •Improving safety, security, and parking at Helena Elementary School. •Improving security and emergency exits at Oak Lane Elementary School. •Renovating classrooms and improving accessibility and security at South Elementary School. The funding will also cover related site work, furnishings, equipment, and other necessary improvements. These projects are collectively called the “2026 Projects.” This borrowing is already included in the County’s long‑term financial plan and represents the second phase of school capital funding that the Board of Commissioners approved for Person County Schools Recommended Action: North Carolina, Authorizing the Negotiation of an Amendment to an Installment Financing Contract, Directing the Publication of Notice with Respect Thereto, Declaring the Intent of the County to Reimburse Itself for Capital Expenditures from Proceeds Thereof, and Proving for Submitted By: 10 RESOLUTION OF THE BOARD OF COMMISSIONERS OF THE COUNTY OF PERSON, NORTH CAROLINA, AUTHORIZING THE NEGOTIATION OF AN AMENDMENT TO AN INSTALLMENT FINANCING CONTRACT, DIRECTING THE PUBLICATION OF NOTICE WITH RESPECT THERETO, DECLARING THE INTENT OF THE COUNTY TO REIMBURSE ITSELF FOR CAPITAL EXPENDITURES FROM PROCEEDS THEREOF, AND PROVIDING FOR CERTAIN OTHER RELATED MATTERS THERETO WHEREAS, the County of Person, North Carolina (the “County”) is a validly existing political subdivision, existing as such under and by virtue of the Constitution, statutes and laws of the State of North Carolina (the “State”); WHEREAS, the County has the power, pursuant to the General Statutes of North Carolina to (1)enter into installment contracts to purchase, or finance or refinance the purchase of, real or personal property and to finance or refinance the construction or repair of fixtures or improvements on real property and (2) create a security interest in some or all of the property financed or refinanced to secure repayment of the purchase price; WHEREAS, the County has previously executed and delivered: (1)an Installment Financing Contract dated as of November 1, 2023 (the “2023 Contract”) with the Person County Financing Corporation (the “Corporation”), a portion of the proceeds of which were used to finance improvements to Person High School (the “Person High School”); and (2)a Deed of Trust, Security Agreement and Fixture Filing dated as of November 1, 2023 (the “Deed of Trust”), pursuant to which the County granted a lien on the site of Person High School, together with the real estate improvements thereon and appurtenances thereto; WHEREAS, it is in the County’s best interest to enter into Amendment Number One to the Installment Financing Contract (the “First Amendment” and together with the 2023 Contract, the “Contract”) with the Corporation to finance capital improvements to County public school facilities, including, but not limited to: (i) construction of additional classroom space and improvements to safety, security, and parking facilities at Stories Creek Elementary School; (ii) improvements to safety, security, and parking facilities at Helena Elementary School; (iii) improvements to security and egress at Oak Lane Elementary School; and (iv) renovation of classroom space and improvements to accessibility and security at South Elementary School, together with all related site work, furnishings, equipment, and incidental improvements (the “2026 Projects”); WHEREAS, financing the 2026 Projects is essential to the County’s proper, efficient and economic operation and to the general health and welfare of its inhabitants; financing the 2026 Projects will provide an essential use and will permit the County to carry out public functions that it is authorized by law to perform; and entering into the First Amendment is necessary and expedient for the County by virtue of the findings presented herein; WHEREAS, the First Amendment would allow the County to finance the 2026 Projects and take title thereto at a favorable interest rate currently available in the financial marketplace and on terms advantageous to the County; WHEREAS, the estimated cost of financing the 2026 Projects, including payment of the costs of execution and delivery of the First Amendment, is an amount not to exceed $10,200,000 and such cost exceeds the amount that can be prudently raised from currently available appropriations, unappropriated 11 2 fund balances and non-voted bonds that could be issued by the County in the current fiscal year pursuant to Article V, Section 4 of the Constitution of the State; WHEREAS, although the cost of financing the 2026 Projects pursuant to the First Amendment is expected to exceed the cost of financing the 2026 Projects pursuant to a bond financing for the same undertaking, the cost of financing the 2026 Projects pursuant to the First Amendment and the obligations of the County thereunder are preferable to a general obligation bond financing or revenue bond financing for several reasons, including but not limited to the following: (1) the cost of a special election necessary to approve a general obligation bond financing, as required by the laws of the State, would result in the expenditure of significant funds; (2) the time required for a general obligation bond election would cause an unnecessary delay which would thereby decrease the financial benefits of financing, constructing, and improving the 2026 Projects; and (3) the 2026 Projects would produce insufficient revenues to permit a revenue bond financing; WHEREAS, the estimated costs of financing the 2026 Projects pursuant to the First Amendment reasonably compares with an estimate of similar costs under a bond financing for the same undertaking as a result of the findings delineated in the above preambles; WHEREAS, any future property tax increase, if necessary, to pay installment payments falling due under the First Amendment will not be excessive; WHEREAS, the sums to fall due under the First Amendment will be adequate but not excessive for its proposed purpose; WHEREAS, no deficiency judgment may be rendered against the County in any action for its breach of the First Amendment, and the taxing power of the County is not and may not be pledged in any way directly or indirectly or contingently to secure any money due under the First Amendment; WHEREAS, the County is not in default under any of its debt service obligations; WHEREAS, the County’s budget process and Annual Budget Ordinance are in compliance with the Local Government Budget and Fiscal Control Act, and external auditors have determined that the County has conformed with generally accepted accounting principles as applied to governmental units in preparing its Annual Budget Ordinance; WHEREAS, past audit reports of the County indicate that its debt management and contract obligation payment policies have been carried out in strict compliance with the law, and the County has not been censured by the North Carolina Local Government Commission (the “LGC”), external auditors or any other regulatory agencies in connection with such debt management and contract obligation payment policies; WHEREAS, a public hearing on the First Amendment after publication of a notice with respect to such public hearing must be held, and approval of the LGC with respect to entering into the First Amendment must be received; WHEREAS, the County will incur and pay certain expenditures (the “Original Expenditures”) in connection with the 2026 Projects prior to the date of execution and delivery of the First Amendment, such Original Expenditures to be paid for originally from a source other than the proceeds of the First Amendment, and the County intends, and reasonably expects, to be reimbursed for such Original Expenditures from a portion of the proceeds of the First Amendment; and 12 3 WHEREAS, all findings, conclusions and determinations of the County in this Resolution are subject to modification or affirmation after all interested parties have been afforded the opportunity to present their comments at a public hearing regarding the execution and delivery of the First Amendment and the 2026 Projects financed thereby. NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COMMISSIONERS OF THE COUNTY OF PERSON, NORTH CAROLINA, AS FOLLOWS: Section 1. Authorization to Negotiate the First Amendment. The County Manager and the Finance Director, or their respective designees (collectively, the “Authorized Officers”), with advice from the County Attorney and the County’s bond counsel, are authorized and directed, individually and collectively, to proceed and negotiate on behalf of the County the First Amendment for a principal amount not to exceed $10,200,000 to finance the 2026 Projects, to be entered into in accordance with the provisions of Section 160A-20 of the General Statutes of North Carolina, as amended. Section 2. Application to LGC. The Authorized Officers are directed to file with the LGC an application for its approval of the First Amendment and all relevant transactions contemplated thereby on a form prescribed by the LGC and to state in such application such facts and to attach thereto such exhibits regarding the County and its financial condition as may be required by the LGC. Section 3. Direction to Retain Professionals. The Authorized Officers, with advice from the County Attorney, are authorized and directed to retain the assistance of Parker Poe Adams & Bernstein LLP, as bond counsel, DEC Associates, Inc., as municipal advisor, PNC Capital Markets LLC, as underwriter, and U.S. Bank Trust Company, National Association, as trustee. The Authorized Officers are authorized to retain such other professionals as they deem necessary in their judgment to carry out the transaction contemplated in this Resolution. Section 4. Public Hearing. The Board of Commissioners of the County shall conduct a public hearing (the “Public Hearing”) on July 20, 2026 at 9:00 a.m. in the Commissioners’ Boardroom, Room 215, Person County Office Building, 304 S. Morgan Street, Roxboro, North Carolina, concerning the First Amendment, the proposed financing of the 2026 Projects, and any other transactions contemplated therein and associated therewith. Section 5. Notice of Public Hearing. The Clerk to the Board is directed to cause a notice of the Public Hearing, in the form attached hereto as Exhibit A, to be published once in a qualified newspaper of general circulation within the County no fewer than 10 days prior to the Public Hearing. Section 6. Repealer. All motions, orders, resolutions and parts thereof in conflict herewith are hereby repealed. Section 7. Reimbursement. The County presently intends, and reasonably expects, to reimburse itself for Original Expenditures in an amount not to exceed $10,200,000 on or after the date occurring 60 days prior to the date of adoption of this Resolution from a portion of the proceeds of the First Amendment. The County adopts this Resolution as a declaration of official intent under Section 1.150-2 of the Treasury Regulations promulgated under Section 103 of the Internal Revenue Code of 1986, as amended, to evidence the County’s intent to reimburse itself for the Original Expenditures from proceeds of the First Amendment. The Authorized Officers, with advice from the County’s bond counsel, are authorized, directed and designated to act on behalf of the County in determining and itemizing all of the Original Expenditures incurred and paid by the County in connection with the 2026 Projects during the period commencing on the date occurring 60 days prior to the date of adoption of this Resolution and ending on the date of the execution and delivery of the First Amendment. 13 4 Section 8. Effective Date. This Resolution is effective on the date of its adoption. Adopted July 6, 2026. Sherry Wilborn, Vice-Chair Person County Board of Commissioners ATTEST: Michele Solomon, NCCCC Clerk to the Board 14 5 EXHIBIT A NOTICE OF PUBLIC HEARING The County of Person, North Carolina (the “County”) previously entered into an Installment Financing Contract dated as of November 1, 2023 (the “2023 Contract”) with the Person County Financing Corporation (the “Corporation”) to finance the projects described therein. To secure its obligations under the 2023 Contract, the County previously executed and delivered a Deed of Trust, Security Agreement and Fixture Filing dated as of November 1, 2023 (the “Deed of Trust”) pursuant to which the County granted a lien on the site of Person High School, together with the real estate improvements thereon and appurtenances thereto (collectively, the “Mortgaged Property”). The Mortgaged Property is located at 1010 Ridge Road, Roxboro, North Carolina 27573. At its July 6, 2026 meeting, the Board of Commissioners (the “Board”) of the County adopted a resolution which authorized the County to enter into Amendment Number One to the Installment Financing Contract (the “First Amendment” and together with the 2023 Contract, the “Contract”), the aggregate principal amount of which is currently expected not to exceed $10,200,000, under which the County will make certain installment payments to finance capital improvements to County public school facilities, including, but not limited to: (i) construction of additional classroom space and improvements to safety, security, and parking facilities at Stories Creek Elementary School; (ii) improvements to safety, security, and parking facilities at Helena Elementary School; (iii) improvements to security and egress at Oak Lane Elementary School; and (iv) renovation of classroom space and improvements to accessibility and security at South Elementary School, together with all related site work, furnishings, equipment, and incidental improvements (collectively, the “2026 Projects”). The Contract and the Deed of Trust permit the County to enter into amendments to finance or refinance additional projects using the Mortgaged Property as collateral and the County may or may not grant additional collateral in connection with such amendments. On the County’s payment of all installment payments due under the Contract, including any future amendments to finance or refinance projects, any lien the Deed of Trust created will terminate and the County’s title to the Mortgaged Property will be unencumbered. NOTICE IS HEREBY GIVEN, pursuant to Section 160A-20 of the General Statutes of North Carolina and Section 147(f) of the Internal Revenue Code of 1986, that on July 20, 2026 at 9:00 a.m. in the Commissioners’ Boardroom, Room 215, Person County Office Building, 304 S. Morgan Street, Roxboro, North Carolina, a public hearing will be conducted concerning the approval of the execution and delivery of the First Amendment and the 2026 Projects financed thereby.
